End User License Agreement (EULA)

1. License Grant

Subject to your compliance with this EULA and any applicable payment requirements, HAPPY DEVELOPMENT SOFTWARE INC. grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use HappyTyping for personal or educational use.

2. License Restrictions

You may not:

• copy, reproduce, distribute, or resell the software except as expressly permitted by law;
• rent, lease, sublicense, assign, or transfer the software to another person or entity;
• reverse engineer, decompile, disassemble, or attempt to derive the source code, except where applicable law expressly allows it;
• modify, alter, or create derivative works based on the software unless expressly authorized;
• remove, alter, or obscure copyright, trademark, or proprietary notices;
• bypass, disable, or interfere with licensing, activation, or security features.

3. Ownership

HappyTyping is licensed, not sold. The software, including its design, code, features, text, graphics, branding, and related materials, is owned by HAPPY DEVELOPMENT SOFTWARE INC. or its licensors and is protected by intellectual property laws.

This EULA does not give you any ownership rights in the software.

4. Activation and Licensing

Certain features of the software may require activation, a valid license, or verification. You agree not to attempt to bypass, disable, or interfere with licensing systems or access controls.

We may suspend, revoke, or limit access to licenses obtained through fraud, abuse, unauthorized sharing, chargeback misuse, or other violations of this EULA.

5. User Content

HappyTyping may allow you to import, create, or use your own text and learning materials. You retain ownership of content you lawfully create or provide.

You are solely responsible for ensuring that any content you use with the software does not violate copyright, privacy, or other rights, and does not violate applicable law.

6. Updates and Changes

We may provide updates, patches, bug fixes, improvements, or new versions of the software from time to time. We are not obligated to provide any specific update or to continue supporting any particular version indefinitely.

7. Third-Party Components and System Features

Some software functions may depend on your device, operating system, installed voices, language packs, internet access, or third-party services and components. We do not guarantee that all features will work on every device or in every environment.

8. Disclaimer of Warranties

To the fullest extent permitted by law, the software is provided on an “as is” and “as available” basis, without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not guarantee that the software will be error-free, uninterrupted, secure, or compatible with every system, device, or operating environment.

9. Limitation of Liability

To the fullest extent permitted by law, HAPPY DEVELOPMENT SOFTWARE INC. will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for any loss of data, profits, revenue, business, or goodwill arising out of or related to the use of, or inability to use, the software.

To the fullest extent permitted by law, our total liability under this EULA will not exceed the amount you paid for the software license giving rise to the claim.

10. Termination

This EULA remains effective until terminated. It will terminate automatically if you fail to comply with its terms. We may also suspend or terminate your license in cases of fraud, abuse, unauthorized distribution, or other material violations.

Upon termination, you must stop using the software and delete all copies in your possession or control, unless applicable law requires otherwise.

11. Governing Law

This EULA is governed by the laws of the Province of British Columbia and the applicable federal laws of Canada, without regard to conflict of law principles.

Any disputes arising under this EULA will be subject to the courts of British Columbia, Canada, unless applicable consumer protection law requires otherwise.

12. Consumer Rights

Nothing in this EULA excludes or limits any non-waivable rights you may have under applicable consumer protection laws.

13. Changes to This EULA

We may update this EULA from time to time. The updated version will be posted on this page with a revised last updated date. Continued use of the software after changes become effective means you accept the revised EULA.
